Don't know any tool, but it should take about 10-20 minutes to make one yourself with Delphi.

Usually text editors have that kind of search and replace functions. Unfortunately I'm not aware of any free editors.
Perhaps http://notepad-plus.sourceforge.net/uk/ has what you need...
Visual web developer express has a "replace in files.." procedure

Hmm this notepad++ is so close to what I want... but not quite
It has "replace" features,
and a "find in files..." feature.
What I need is "Replace in files..." feature.
I have a really good shareware but it costs $40 US and my visas max... agh
